The SEC alleged that Kalder Inc., a New York-based fintech start-up, and its founder and CEO Gökçe Güven raised about $6.7 million from investors between April and December 2024 while giving them inflated revenue figures and overstating how many customers had revenue-generating contracts. The complaint says Kalder kept an accurate set of books with its outside bookkeeper and a second, inflated set shared with investors at Güven’s direction, and that many customers counted as paying were on free demo accounts or short discounted pilots.
Admission. Without admitting the allegations, Güven consented to a judgment, subject to court approval, that would bar her from future violations of the charged provisions and from serving as an officer or director for six years; disgorgement and penalties are left for the court to set. The release does not describe a resolution for Kalder Inc. itself.
Charges are allegations; the company has not been found liable unless a court or agency later rules so.
